As Merkur Holding we expect each employee, customer, business partner and service provider to respect and comply to these principles.

We have established and maintained our reputation by obeying ethical rules, related laws and our attitude during business related negotiations.
     All principles included in the Ethical Working Rules are established within the framework of Merkur Holding’s values and its vision.

     Together with our employees, we have followed every law and regulation not just in Turkey but in every country, we have business relations with and through that we have prevented conflicts and acted accordingly.
As a community of corporates, we are aware of the fact that we are a whole together with our employees, therefore it is important for everyone that is part of Merkur to understand and consider it as a responsibility to provide our employees with a working environment that is respectful and efficient and also prevents conflict. Both this working environment and its preservation of it is important for us to grow as a powerful company not just today but also in the future.   1. COMPLIANCE WITH LAWS
    As Merkur Holding employees and directorate we pay extra attention to work in compliance with every law, regulation and legislation by obtaining necessary permits and licenses and we also respect every tradition and social norms in every country we have business relations with.
  2. RESPECT
    Our stable success as Merkur Holding is directly related to our efforts to improve our employees’ talents and to provide them with the best working environment possible. During the recruitment process we work in accordance with the principle of equality and justice and our employees’ promotion and salary issues are also dealt in accordance with laws and principle of equity and justice.
  3. SAFETY, HEALTH AND ENVIRONMENT
    Each Merkur employee has an active part in working environment’s efficiency sustainable and as a socially responsible corporate we will continue to adhere our principles on creating a healthy and safe working conditions and environment. At this point our directorate is also responsible together with our employees for providing the necessary conditions to conduct safe operations and safe work places and also during the process they have to guard our customers’ and business partners’ health and safety as well. At the same time, they are responsible for notifying any hitch, dangerous situations and accidents and this will help us find the necessary solutions and prevent such incidents from occurring ever again.
  4. CONFLICT OF INTEREST
    It is important for us to protect the mutual interests regarding our customers and business partners. Neither from Merkur Holding nor from other parties, a 3rd persons’ interest cannot be a subject of us other than a corporate relationship. We expect every single one of our business partners to respect and comply with the ethical rules we have adapted.
  5. CORPORATE SOCIAL RESPONSIBILITY
    As Merkur Holding we continue to support educative, cultural or artistic events alongside with the NGOs that are closed to our business areas to strengthen our corporate’s part in social responsibility.
  6. RELATIONS WITH BUSINESS PARTNERS, OFFICIALS AND OTHER REPRESENTATIVES
    Because of our attention to our service quality, we have made a name for ourselves in the sector as a whole with all our companies and to preserve that name we follow each and every standard, regulation and law, act on our ethical principles and exactly for this reason we expect all of our business partners and service providers to care, respect and more importantly comply with all those regulations, standards, laws and ethical principles.

    We always refrain from any act that may cause conflict of interest, damage our reputation regardless of private or public institutions and organizations, as well as the reputation of our customers and business partners, or any act that may damage the trust between us and our business partners, therefore we always abide by the law.
  7. MARKET AND COMPETITION
    All kinds of company assets, financial transactions, cash flows and accounting records must be documented in accordance with the relevant accounting criteria and principles.
  8. PROTECTION OF COMPANY ASSETS AND INFORMATION
    In addition to our company assets, the protection of any information about our company that hasn’t been announced yet, or shouldn’t be announced is as important as any information related to our customers, business partners or our service providers.
    - While benefiting from our Information Technologies each ethical principle, laws and courtesy rules has to be considered and during the use of IT each employee has to be sure that necessary precautions (passcode, coding or antivirus programs etc..)
  9. PREVENTION OF CONTRACT RISKS
    As their nature contracts are binding and as Merkur Holding we pay extra attention to fulfil our part on contracts, therefore we warn each employee of ours to calculate each element that may cause risky situations accordingly with our Risk Management mechanism before signing a contract.
  10. PROTECTION OF INSIDE INFORMATION
    Inside information related to our company can only be shared by people who has to know that information based on their position or is aware of the legal responsibility of knowing that information.
    - Each document or report that has to be submitted to other establishments, should be arranged accordingly with laws and regulations and be on time.
    - All kinds of company assets, financial transactions, cash flows and accounting records must be documented in accordance with the relevant accounting criteria and principles.
  11. NOTIFICATION OF BREACHES, PUNISHMENTS AND SANCTIONS
    Even though each principle, values and rules are the base of Merkur Holding’s ethics, it is not a proof that we act with one attitude. In case of a breach, whether the employee in question is subject to Merkur Holding’s Ethical Working Rules or our company policies; he/she is aware of the fact that there might be sanctions, including even dismissal. The same rule applies in case of a irregularity between the Board of Directors of Merkur Holding.
    - Merkur Holding notifies its employees about compliance with Ethical Working Rules, company policies and rules.
    - Any Merkur employee that is suspicious or aware of a breach has to notify and report the breach accordingly with laws, ethical principles and our company policies, however any groundless claim on purpose will go through the same sanctions.
    - In order to provide a safe environment for our employees where they can share such breaches, we don’t put pressure on them, threaten with deposition or dismissal or let them feel under any pressure, on the contrary we encourage them to notify breacher for everyone’s sake.
